If the Client believes that any product delivered is defective at the date of delivery or that the product delivered does not correspond with the Client's order, the Client must notify Escent via Trading Tree within seven (7) days of delivery. Unless otherwise required by law, for products which Escent has agreed in writing are defective or were delivered in error, Escent’s liability is limited to either (at Escent’s discretion): (i) replacement of the Product; or (ii) repair of the Product. A Client must afford Escent an opportunity to inspect the products within a reasonable time upon request to confirm the defect or error raised by the Client. The Client is responsible for all costs associated with making a claim under this clause, unless Escent agrees otherwise in its sole discretion or unless otherwise by law. Escent shall not be liable to compensate the Client for any delay in either replacing or remedying the defect in the product or in properly assessing the Client's claim under this clause. Unless otherwise required by the Australian Consumer Law, Escent does not provide a refund or replacement of a product merely if the Client changes their mind. Escent reserves the right to amend these Terms & Conditions at its discretion. Escent shall not be liable for any default of these Terms & Conditions or the failure to provide any services or products due to any event of force majeure including but not limited to war, terrorism, strike, lock-out, industrial action, fire, flood, drought, storm or other event beyond its reasonable control. The parties agree and acknowledge that these Terms & Conditions are governed by and to be construed in accordance with the laws of the State of New South Wales, Australia and each party irrevocably and unconditionally submit to the non-exclusive jurisdiction of the Courts of , Australia, and Courts entitled to hear appeals from these Courts. Escent shall not be liable for any loss or damage suffered by the Client as a result of any failure by Escent to deliver the Products (or any of them) promptly or at all.
